Terms & Conditions
The governing rules and professional standards for utilizing the DonRight platform.

These Terms & Conditions ("Terms") govern your use of the DonRight website and services provided by DonRight LLC ("DonRight," "we," "us," or "our").
By accessing our website, purchasing our services, or entering into an agreement with DonRight, you agree to these Terms.
1. Our Services
DonRight provides digital services for businesses, which may include:
- Website design and development
- Website redesign and optimization
- Local search engine optimization (SEO)
- Lead capture and lead management
- Marketing automation
- Review and referral automation
- Customer relationship management (CRM) tools
- Conversion optimization
- Related digital marketing and technology services
The specific services provided to a customer depend on the applicable service plan, proposal, order, or agreement.
2. Service Agreements
Before beginning certain projects, DonRight may provide an order, proposal, statement of work, subscription plan, or other agreement describing the services, pricing, deliverables, and applicable terms.
If a separate written agreement conflicts with these Terms, the specific written agreement will control with respect to that conflict.
3. Client Responsibilities
Clients are responsible for providing accurate and timely information necessary to provide services. This may include:
- Business information
- Contact information
- Branding materials
- Logos and images
- Service descriptions
- Website access
- Domain information
- Third-party account access
- Google Business Profile or other platform information where applicable
Clients are responsible for ensuring that information and materials they provide to DonRight are accurate and that they have the necessary rights and permissions to use those materials. Delays in providing required information or access may delay project completion.
4. Website Services
Website projects may include design, development, configuration, content implementation, integrations, and related services specified in the customer's plan or agreement.
DonRight does not guarantee that a website will generate a specific number of leads, customers, sales, revenue, or other business results. Website performance may depend on factors outside DonRight's control, including market conditions, competition, search-engine algorithms, customer behavior, hosting providers, and third-party platforms.
5. SEO and Marketing Services
DonRight may provide SEO, local SEO, lead-generation, conversion optimization, or marketing automation services.
SEO and marketing results cannot be guaranteed. DonRight does not guarantee specific search-engine rankings, a specific number of leads, calls, or customers, a specific amount of revenue, or a particular return on investment.
Search engines and third-party platforms may change their systems, policies, algorithms, or requirements at any time.
6. Third-Party Services
DonRight may integrate or work with third-party platforms and services, including hosting providers, payment processors, CRM systems, communication platforms, analytics services, search engines, advertising platforms, and other software.
Third-party services are controlled by their respective providers. DonRight is not responsible for changes, interruptions, outages, pricing changes, account restrictions, API changes, policy changes, or other actions taken by third-party providers.
7. Payments and Billing
Customers agree to pay fees associated with their selected services according to the applicable pricing, order, proposal, or agreement.
For recurring services, the applicable recurring fee will be charged according to the agreed billing schedule. Failure to make required payments may result in suspension or termination of services. DonRight may use third-party payment processors to process payments.
8. Cancellation and Refunds
8.1 Setup and Project Fees
Setup and project fees cover the initial work required to onboard a customer and begin delivering services. Depending on the service purchased, this may include strategy, onboarding, website design, development, configuration, content implementation, integrations, account setup, and other work performed for the customer.
A customer may request a full refund of a setup or project fee only if the customer cancels before DonRight has begun work. Once DonRight has begun work on the project, the setup or project fee becomes non-refundable, because DonRight has committed time, resources, and work to the project.
8.2 Recurring Monthly Services
Customers subscribed to recurring services may cancel their subscription at any time. Cancellation does not automatically result in a refund of the current billing period. Unless otherwise stated in the customer's service agreement, a cancellation becomes effective at the end of the customer's current paid billing period. The customer may continue to receive applicable services through the end of the paid billing period.
8.3 No Partial-Month Refunds
Recurring monthly fees are not prorated or refunded when a customer cancels after the current billing cycle has started. For example, if a customer's monthly billing date is the 10th of each month and the customer cancels on the 20th, the customer will generally continue to receive applicable services through the end of that paid billing period, but the monthly payment will not be partially refunded.
8.4 Future Recurring Charges
After a customer submits a valid cancellation request, DonRight will not intentionally initiate additional recurring charges after the cancellation becomes effective. Customers are responsible for submitting cancellation requests before the next billing date if they do not wish to enter another billing period. If a cancellation is submitted after a recurring payment has already been processed, that payment will generally remain subject to the terms of the current billing period.
8.5 DonRight-Caused Cancellation
If DonRight terminates a customer's recurring service for reasons unrelated to customer misconduct, violation of these Terms, failure to pay, fraudulent activity, abuse of the service, or other customer-related breach, DonRight will refund the unused portion of any prepaid recurring service period, where applicable.
8.6 Customer Failure to Provide Required Information
If a customer fails to provide information, content, approvals, credentials, access, or other materials reasonably necessary for DonRight to perform the services, project delays may occur. Such delays do not automatically create a right to a refund. If DonRight has already performed work or committed resources to the project, the applicable setup or project fees remain subject to the non-refundable provisions of this Section.
8.7 Third-Party Costs
Fees paid to third-party providers on behalf of or for the benefit of a customer are generally non-refundable once incurred. This includes domain registration fees, software fees, hosting, advertising costs, and other third-party services. DonRight is not responsible for refund policies established by third-party providers.
8.8 Completed or Delivered Work
Work that has already been completed, delivered, configured, published, or otherwise made available to the customer is generally non-refundable. This includes website development, configuration, CRM setup, and other completed professional services.
8.9 Refunds for Duplicate or Erroneous Charges
If a customer believes they were charged more than once for the same transaction or were charged due to a billing error, they should contact DonRight promptly at sharif@donright.pro. If DonRight confirms that a duplicate or erroneous charge occurred, DonRight will take reasonable steps to correct the error or issue an appropriate refund.
8.10 Refund Requests
Refund requests must be submitted to: sharif@donright.pro. The request should include customer name, business name, email, date of payment, and reason for the request. DonRight will review requests based on the service agreement, these Terms, services performed, and applicable law.
8.11 Refund Processing
When a refund is approved, it will generally be issued to the original payment method used for the transaction. The time required for the refund to appear may depend on the customer's bank or payment provider.
8.12 No Guaranteed Results
Payment for DonRight services is for the services themselves and not for guaranteed business results. A customer is not entitled to a refund solely because the services did not produce a particular number of leads, calls, sales, or other results.
8.13 Chargebacks
Customers agree to contact DonRight first regarding billing disputes or refund requests so that DonRight has a reasonable opportunity to investigate and resolve the issue. A customer should not use a payment chargeback to circumvent the cancellation and refund procedures described in these Terms.
8.14 Rights Required by Law
Nothing in this Cancellation and Refund Policy is intended to remove, restrict, or waive any cancellation, refund, consumer-protection, or other rights that cannot legally be waived under applicable law. Where applicable law provides more favorable rights, those rights will apply.
9. Intellectual Property
Unless otherwise agreed in writing, DonRight retains ownership of its pre-existing systems, processes, templates, software, tools, frameworks, methodologies, and other materials used to provide services.
Upon full payment, customers generally receive the rights to use the final deliverables specifically created for them as described in their applicable agreement. Third-party software, fonts, images, and other materials remain subject to their respective licenses and terms.
10. Customer Content
Customers retain ownership of content and materials they provide to DonRight. By providing materials to DonRight, the customer represents that they have the necessary rights and permissions to allow DonRight to use those materials for the purpose of providing the services.
11. Prohibited Activities
Customers may not use DonRight's services or websites to violate laws, commit fraud, distribute malicious software, infringe IP rights, engage in unauthorized access, distribute harmful content, or interfere with system operations. DonRight may suspend services to address abuse or security risks.
12. Service Availability
We work to maintain reliable services, but we do not guarantee uninterrupted or error-free operation. Services may occasionally be unavailable due to maintenance, technical problems, third-party outages, or circumstances outside our reasonable control.
13. Limitation of Liability
To the maximum extent permitted by law, DonRight and its providers will not be liable for indirect, incidental, special, consequential, or punitive damages. Where permitted, DonRight's total liability will not exceed the amount paid by the customer for the specific service during the applicable period.
14. Indemnification
To the extent permitted by law, customers agree to defend, indemnify, and hold harmless DonRight and its providers from claims, losses, and costs arising from the customer's unlawful use of services, violation of these Terms, or infringement of another person's rights.
15. Termination
Either party may terminate services according to the service agreement. DonRight may suspend or terminate services if a customer materially violates these Terms, fails to pay, or creates security risks. Upon termination, access to services may be discontinued.
16. Changes to Services or Terms
DonRight may modify, improve, or discontinue portions of its website or services. We may also update these Terms. Updated Terms will become effective when posted unless otherwise stated.
17. Governing Law
These Terms will be governed by applicable law as specified in the service agreement or, where unspecified, by the laws applicable to DonRight LLC.
18. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
19. Entire Agreement
These Terms, together with any applicable order, proposal, or written agreement, constitute the entire agreement governing the applicable services.
